TaskView SE License Agreement
1. Parties and acceptance
This agreement is between Nikolai Giman, the developer and licensor of TaskView ("Licensor"), and the organization named on the invoice ("Licensee"). The agreement is accepted when the Licensee pays the invoice referencing it. The free Community Edition is not covered by this agreement — it is distributed under its own license published in the TaskView repository.
2. License grant
Upon payment, the Licensor grants the Licensee a perpetual, non-exclusive, non-transferable license to use TaskView Special Edition (SE) on the Licensee's own infrastructure, for the major version stated in the license file, up to the number of seats stated in the license file. The license includes all SE releases within that major version, including new features, at no additional cost. The license does not expire. If this agreement is ever terminated for breach, the Licensee's data always remains accessible: TaskView never withholds data, and the product continues to run as Community Edition.
3. Restrictions
The Licensee may not resell, sublicense, redistribute, or provide TaskView SE to third parties as a hosted service, and may not remove or circumvent license verification. Use within the Licensee's own organization — including contractors working on the Licensee's projects — is permitted.
4. Seats
A seat is a distinct user identity in the Licensee's instance, counted by email address, including invited members. If the seat limit is reached, existing users are unaffected; adding new members requires an upgrade to a higher tier.
5. Upgrades
Upgrading to a higher tier is available at any time by paying the difference to the then-current price of the target tier. Upgrading to the next major version of TaskView is optional and offered at the then-current upgrade price; declining a major-version upgrade never affects the existing license.
6. Support
The license includes priority email support provided directly by the Licensor on a reasonable-efforts basis. No specific response time or service level is guaranteed.
7. Fees and refunds
Fees are stated on the invoice. All sales are final; fees are non-refundable except where a refund is required by applicable law. The Community Edition is available free of charge with no time limit and can be used to evaluate TaskView before purchasing.
8. Warranty disclaimer
TaskView SE is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by applicable law.
9. Limitation of liability
To the maximum extent permitted by applicable law, the Licensor's total liability under this agreement is limited to the fees actually paid by the Licensee for the license, and the Licensor is not liable for indirect, incidental, consequential, or special damages, or for loss of data, profits, or business.
10. Termination
The Licensor may terminate this agreement if the Licensee materially breaches it and does not cure the breach within 30 days of written notice. Sections 3, 7–9, and 11 survive termination.
11. Governing law
This agreement is governed by the laws of the Republic of Serbia, without regard to conflict-of-law rules. Disputes shall be resolved in the courts of the Licensor's place of residence, unless mandatory law provides otherwise.
